1. Scope

These terms govern the licensing and use of Data Sensors ("the Software"), provided by Solev UG (haftungsbeschränkt), Rienzistraße 18, 70597 Stuttgart, Germany ("Solev UG", "we"). By purchasing, downloading, or activating a license for the Software, you ("the Customer") agree to these terms.

2. License types

The Software is licensed, not sold. We grant you a non-exclusive, non-transferable right to use the Software under one of the following license types, each valid for a term of one year from issuance unless otherwise agreed in writing:

  • Single Machine (node-locked): one license, bound to one specific machine, for use by one user at a time.
  • Floating (team): a pool of concurrent-use seats (minimum five), shared by any number of named users within the Customer's organisation via a license server operated by the Customer on their own infrastructure.
  • Trial: a free, time-limited (currently seven days) evaluation license at Viewer capability (see below), automatically granted on first use when no paid license is configured. No purchase or payment details are required for the trial.

Independently of the license type above, every license also grants one of two capability tiers: Viewer, which permits use of the measurement and Simulink/Stateflow viewer and the training and comparison of virtual sensors; or Virtual Sensor, which includes everything granted under Viewer plus the right to export trained models as C, C++, Python, or MATLAB code. The Trial is always granted at Viewer capability only.

3. Term and renewal

A paid license is valid for one year from the date it is issued. We will offer renewal before expiry; renewing does not require reinstalling the Software, only replacing the license file (or, for floating licenses, updating the file loaded by the Customer's license server). We do not automatically renew or charge for a license without the Customer's explicit agreement.

4. No accounts, license enforcement

The Software does not require a user account and does not transmit usage data or telemetry to us. A Single Machine license is bound to a device identifier read from that machine; a Floating license is enforced by the Customer's own self-hosted license server. The Customer is responsible for keeping license files and access to the license server reasonably secure, and for not using the Software beyond the seat count or machine binding actually purchased.

5. Restrictions

Except as permitted by mandatory law (e.g. German §69e UrhG for interoperability purposes), the Customer shall not reverse-engineer, decompile, or disassemble the Software, remove or circumvent its license checks, or sublicense, rent, lease, or resell the Software or a license to it to any third party outside the Customer's own organisation.

6. Exported code, models, and validation responsibility

Models trained with the Software and code exported from it (C, C++, Python, MATLAB) are the Customer's own work product; the Customer may use, modify, and distribute such exported code freely, including as part of the Customer's own commercial products, without any obligation toward Solev UG. This does not extend to the Software itself, which remains licensed as described above.

The Software is a tool for creating virtual sensors from measurement data - it is not itself a validated, certified, or fit-for-purpose sensor for any specific application. The Customer is solely responsible for validating the accuracy, safety, and suitability of any virtual sensor it creates - whether in simulation, bench testing, or real-world deployment - before relying on it for any purpose, including safety-relevant, financial, or operational decisions. Solev UG makes no representation that a model trained with the Software will perform correctly in any specific real-world or test environment, and this validation is the Customer's responsibility, not Solev UG's.

To the extent permitted by law, Solev UG assumes no liability for human injury, financial loss, or any other damage arising from the Customer's use, deployment, or reliance on a virtual sensor created with the Software. This does not affect Solev UG's own liability for defects in the Software itself, as described in §7.

7. Warranty and liability

The Software is provided "as is". To the extent permitted by applicable law, Solev UG disclaims all warranties, express or implied, regarding the Software's fitness for a particular purpose, and shall not be liable for indirect, incidental, or consequential damages arising from its use. Nothing in these terms limits liability for intent, gross negligence, or injury to life, body, or health, or any other liability that cannot be excluded under German law.

8. Termination

A license terminates automatically at the end of its term if not renewed, or immediately if the Customer materially breaches these terms (in particular §5). Termination does not affect the Customer's rights under §6 to code already exported before termination.

9. Governing law

These terms are governed by the laws of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Where the Customer is a merchant, the exclusive place of jurisdiction is Stuttgart, Germany.
